1) General Provisions
These Terms & Conditions (“T&C”) govern the relationship between FAIRINO Europe s.r.o. (“Supplier”) and its customers, partners and other entities (“Customer” or “Partner”). They apply to all sales of FAIRINO products and services (including hardware, software, accessories, training, and support) performed within Europe. By purchasing, confirming an offer, signing a contract, or paying an invoice, the Customer acknowledges and accepts these T&C and related FAIRINO Europe documents.
2) Scope and Definitions
These Terms apply to all deliveries of FAIRINO Europe s.r.o., unless otherwise agreed in writing. Any specific agreements (e.g., partnership, NDA, SLA) shall take precedence if they differ from these T&C.
- Customer / Partner – any legal or individual person entering into a commercial relationship.
- Product – any item, equipment, software, accessory or service supplied by FAIRINO Europe.
- Support Portal – the online support platform (https://fairino.support).
3) Offers, Orders, and Deliveries
The Customer must ensure all details in the offer or order are accurate.Standard process:
- Customer submits a purchase order (PO) in PDF format.
- FAIRINO Europe issues a proforma invoice for 100% prepayment.
- Upon receipt of payment, the goods are shipped via contracted logistics partner.
Usual delivery time within the EU is 1–5 business days. Delivery terms are EXW Czech Republic (Incoterms® 2020). Risk passes to the Customer upon handover to the carrier.
4) Prices and Payments
Prices are exclusive of VAT and may change without prior notice. Payment is 100% in advance based on the proforma invoice. Price quotations are valid only until their stated expiry date. Final pricing may vary depending on shipping, duties, exchange rates, or manufacturer decisions.
5) Delivery Terms and Stock Availability
Not all products are necessarily in stock. FAIRINO Europe is not liable for delays caused by carriers, customs, or force majeure.
6) Warranty and Service
All delivered products are covered by Warranty Terms and Online Technical Support Terms (Standard) available at https://fairino.info/?page_id=961. FAIRINO Europe’s liability is limited to repair, replacement, or refund of the defective item.
7) Ownership and Intellectual Property
All rights to software, firmware, technical documentation, and marketing materials remain the property of FAIRINO Europe s.r.o. The Customer shall not perform reverse engineering, copying, or modification.
8) Limitation of Liability
FAIRINO Europe shall not be liable for indirect, consequential, or financial losses (loss of profit, data, or production downtime). Total liability shall not exceed the invoiced value of the delivery.
9) Export and Legal Restrictions
The Customer must comply with all applicable EU and local export, safety, and regulatory requirements.
10) Acceptance of Terms
By submitting a purchase order or making payment, the Customer confirms they have read and accepted the current T&C, Warranty Terms, and Technical Support Terms.
11) Data Protection
FAIRINO Europe processes personal data in accordance with applicable EU law and its internal Privacy Policy.
12) Governing Law and Jurisdiction
These Terms are governed by the laws of the Czech Republic. Disputes shall be resolved primarily by amicable means; otherwise by courts in the Czech Republic.
13) Confidentiality and Non-Disclosure
All business, technical, or pricing information must be treated as confidential. This includes pricing, customer data, and technical documentation. This duty survives termination of cooperation.
14) Ethical Principles and Responsible Conduct
FAIRINO Europe conducts business according to ethics, transparency, and respect for human rights. Cooperation may be terminated if a Partner acts unethically, engages in corruption, or violates fundamental EU values.
15) Assignment of Rights and Obligations
Supplier may assign its rights to another company without prior consent. Customer may not assign rights without written consent from FAIRINO Europe.
16) Severability Clause
If any provision is held invalid, the remaining provisions remain valid. The invalid clause shall be replaced by one that reflects the original legal intent.

18) Final Provisions
These Terms are effective from 1 November 2025 and supersede all previous versions. FAIRINO Europe reserves the right to amend these Terms at any time.
